Winspeed Technologies & RedZee Terms Of Use For Advertisers

1. Service By completing the enrollment process to become an advertiser of the service or by using the service or any application software provided including the RedZee toolbar: you agree to accept the terms of the agreement as if you had signed it. We may change this Agreement at any time; such changes will be effective immediately upon transmission of notice by e-mail, postal mail, or any other means. Each time you log in to your account reaffirms your acceptance of the then-current Agreement. You acknowledge and agree that we may refuse to accept any proposed account for any reason. You also acknowledge that we cannot guarantee that you will be able to register a desired keyword or keyword phrase, even if an inquiry indicates that the keyword or phrase is or may be available, because of the possibility of simultaneous applications or for other reasons including relevancy to the keyword or keyword phrase.
1.2 Winspeed Technologies reserves the right, in its sole discretion, to change, modify, add or remove all or part of these Terms, including but not limited to any term, applicable fee, policy, or guideline, at any time without notice or acceptance by You. It is Your responsibility to check regularly for changes to the Terms and ensure that any contact information You provide to Winspeed Technologies is update and correct.
1.3 BY COMPLETING THE REGISTRATION PROCESS ("Registration Process") AND CLICKING THE "I ACCEPT" BUTTON, YOU: (a) agree to be bound by these Terms, (b) represent and warrant that, if You are an individual, You are 18 years old or older or, if you are an entity, that You are a corporation, partnership or other legal entity duly formed (and incorporated if applicable) in good standing where required to do business with all legal authority and power to accept these Terms; (c) agree to provide true, accurate, current and complete information, and agree to maintain and update this information to keep it true, accurate, current and complete; (d) represent and warrant that You have the power and authority to enter into and perform under these Terms; (e) authorize Winspeed Technologies to charge your credit card for full amount listed in "Registration " form. If these Terms or any future changes are unacceptable to You, Your sole remedy is to cancel Your Service. IF YOU DO NOT ACCEPT AND AGREE TO THESE TERMS, DO NOT COMPLETE THE REGISTRATION PROCESS BY CLICKING THE "I ACCEPT" BUTTON.

2. Subscription Requirements
You are responsible and liable for any activity by any person who uses your account with the Service. Other users of your account will be bound by this Agreement as if they were you. You are responsible for maintaining the confidentiality of your password and for any liability resulting from disclosure of your password. You agree that, upon becoming aware that your password or account is (or possibly is) being used without authorization, you will immediately change your password and notify us. You understand and agree that the Winspeed Technologies RedZee service is designed for the benefit of Internet users by providing them with a positive navigation experience which includes relevancy. You are required to send all keywords or keyword phrases that you are licensing to a website that provides a product or service that is specifically related to the website you are advertising for. We reserve the right to revoke any account that we determine, in its sole discretion, does not truly represent the intended use.

3. Guidelines For Acceptable Use You represent and warrant to that:
a. To the best of your knowledge, the registration and/or use of the product you are registering will not violate the terms of this Service Agreement or infringe upon or otherwise violate the rights of any third party. You will not use Winspeed Technologies or RedZee directly or indirectly to promote any pornographic, sexually explicit or obscene goods, material or services, or otherwise display any pornographic, sexually explicit or obscene content, information or materials on the website that your RedZee direct to. We will be the sole judge of whether RedZee is being used to promote such goods, material or services.

4. Disputed Registrants must not infringe upon the intellectual property rights of a third party. Unless you can provide written documentation that you are the legal owner of a trademarked name, copyrighted name, celebrity name, a product with a registered patent or are the designated legal representative of a municipal, state or federal government and/or government agency, you may not, under any circumstance, advertise with a keyword which is protected by a trademark, copyright, patent or a celebrity's commercial rights to their own name. These keywords shall include the name of any city, county, state or nation. You shall assume full responsibility for the use of any keywords that violate in any way the rights of any third party. You understand and agree that should there arise any dispute with, or challenge by, a third party concerning or arising from your use, you shall assume all legal and/or financial liability arising out of said dispute or challenge.

5.0 TERM AND TERMINATION
5.1 Term
The initial term of this Agreement and these Terms will commence on the date that You click the "I AGREE" button to these Terms (or the first date on which you use the Service, whichever comes first) and will remain effective for the period of time corresponding to the plan You select during the Registration Process ("Initial Term"). If You fail to notify Winspeed Technologies of Your intent to renew, this Agreement will be terminated automatically after the last visitor is counted. If You renew for a Renewal Term, this Agreement will be renewed for the Renewal Term at the then-current rates and fees. Except as set forth in these Terms, neither party will be liable to the other for any termination or expiration of any Service or this Agreement in accordance with its Terms.
5.2 Cancellation/Termination by You
You may cancel Your Service and terminate these Terms at any time. If You cancel the Service before the end of the Initial or Renewal Term, Your Service and access to the Service will be discontinued immediately, and no refund will be provided for any payments You have made for currently running campaigns, however, refunds will be granted should the services not be provided.
5.3 Termination by Winspeed Technologies or RedZee Search
Winspeed Technologies may terminate these Terms at any time upon notice to You. Notwithstanding anything to the contrary herein, Winspeed Technologies may also, but has no duty to, immediately suspend or terminate Your Service, terminate Your access and password, remove Your Service from Winspeed Technologies and RedZee Search servers, or remove any Content within the Service, if Winspeed Technologies or RedZee Search concludes, in its sole discretion, that You (a) have breached, violated or acted inconsistently with the letter or spirit of these Terms, including any applicable Winspeed Technologies and RedZee Search Policy or any applicable law or regulation; (b) have provided false information as part of your Account Information, (c) have failed to keep your Account Information complete, true and accurate, (d) fail to respond to any email communication sent to the email address listed in your Account Information, (e) are engaged in fraudulent or illegal activities or the sale of illegal or harmful goods or services; or (f) are engaged in activities or sales that may damage the rights or reputation of Winspeed Technologies or RedZee Search or others (each "Termination for Cause") . Any Termination For Cause by Winspeed Technologies or RedZee Search will take effect immediately, and You expressly agree that You will not have any opportunity to cure. If RedZee Search ID is terminated for any reason, these Terms and Your access to the Service will also be terminated
5.4 No Warranties
We will not warrant the service will be uninterrupted of error free nor make any warranty as the results obtained from the use of the service. We do not guarantee the connectivity at any time, for any length of time or at any specified speed. The service and the application software are provided on an as is basis without any warranties or conditions of merchantability or fitness for a particular purpose, no oral or advice or written information provided by us, its employees, affiliates, resellers, agents, representatives, licensors or authorized users will create a warranty, nor should you rely on any such advice or information.

6. Liability Limitation
You agree that Winspeed Technologies, RedZee, and our affiliates, officers, employees, agents, and representatives or other partners, shall have no liability to you for any loss you may incur in connection with your registration in the event that you have failed to promptly pay applicable fees. You agree that in no event shall our maximum liability, together with the maximum liability of our affiliates, officers, employees, agents, and representatives or other partners, under this Agreement for any matter exceed an aggregate of one thousand United States dollars (US $1,000).

7. Advertiser Disputes
The parties agree that any claim, controversy or dispute arising out of or relating to this License Agreement shall be settled by a court of law in the state of Florida. Any and all notices, demands, or other communications required or desired to be given hereunder by any party shall be in writing and shall be validly given or made to another party if personally served, or if deposited in the United States mail, certified or registered, postage prepaid, return receipt requested, or if by electronic mail, to the e-mail address on record at Winspeed.com.

Description of Service:
The ad shall consist of a title, description, and URL.
The title: may consist of up to 55 characters.
The description: may consist of up to 250 characters.
The URL will be the website address that you the client designate.
The ad will rotate randomly within the top 3 sponsored listings on redzee.com. You may change your ad copy at anytime by sending a request to sales@winspeed.com.

Order Fulfillment:
Your Credit Card will be charged upon the submission of this form and your order will be processed the same day it is received. You will receive an e-mail confirmation and order summary within one business day of the original order.
Your ad copy may take up 48 business hours to display on redzee.com

Cancellation & Refund Policy:
You may cancel your service and terminate these terms at any time. If you cancel the service before the end of the initial or renewal Term, your service and access to the service will be discontinued immediately, and no refund will be provided for any payments you have made for currently running campaigns, however, refunds will be granted should the services not be provided.
